2. Platform Role and Responsibility (Technical & Marketing Intermediary)

2.1 Nature of the Platform

You acknowledge and agree that Scopelux is an Intermediary Platform that acts as a technical and marketing intermediary between sellers and buyers only. We do not manufacture, store, distribute, or ship the products listed on the Platform (unless otherwise agreed under Article 13 of these Terms).

2.2 Scope of Our Services

Our role as a Platform is limited to:

2.3 Contractual Relationship Clarification

  • Any sales contract concluded through the Platform is a direct contract between the seller and the buyer.

  • We are not a party to the sales contract between the seller and the buyer.

  • Our role is to facilitate and ease the buying and selling process, not to control or be responsible for it.


3. Eligibility and Registration Requirements

3.1 Seller Registration Requirements

To be eligible to register as a seller on the Platform, you must meet the following conditions:

Note: There is no minimum number of products required for registration.

3.2 Seller Registration Process

  • Registration is completed entirely online through the Platform’s registration form.

  • By agreeing to these Terms and Conditions, your registration is considered complete and your account is activated immediately.

  • You are responsible for maintaining the confidentiality of your dashboard login credentials.

3.3 Optional Logistics Services

  • The warehousing, fulfillment, and shipping service (detailed in Article 13) is an optional service that the seller is not required to subscribe to.

  • The seller may activate this service at any time by submitting a written request to the Platform.

  • The seller may cancel this service at any time in accordance with the procedures set forth in Article 13 of these Terms.


4. Seller Obligations

4.1 General Obligations

You agree to:

  • Comply with all applicable Saudi laws and regulations, including the Anti-Commercial Fraud Law, Consumer Protection Law, and Personal Data Protection Law.

  • Provide accurate and complete commercial information consistent with your commercial registration or freelance license.

  • Periodically update your commercial information whenever changes occur.

4.2 Order Fulfillment Obligations (When Not Using Platform Logistics Services)

You agree to:

4.3 Indemnification of the Platform

You agree to indemnify and hold Scopelux harmless from any losses, damages, or costs (including attorney fees) arising from:

  • Your violation of these Terms or applicable laws.

  • Any claim related to your products (e.g., fraud claims, IP infringement, or harm to buyer).

  • Any dispute arising between you and a buyer.


5. Product and Content Policy

5.1 Product Authenticity

You warrant that all products listed on the Platform:

  • Are 100% authentic and not counterfeit, stolen, or adulterated.

  • Comply with all applicable Saudi laws and regulations.

  • Do not infringe on any third-party intellectual property rights.

5.2 Displayed Content

You warrant that all product information (images, descriptions, prices, sizes):

  • Is accurate, complete, and not misleading.

  • Matches the actual specifications of the product.

  • Does not contain any illegal, offensive, or morally inappropriate content contrary to Islamic values.

5.3 Prohibited Products

The following products may not be listed or sold on the Platform:

6. Shipping and Delivery Policy

6.1 Shipping Options

You have two shipping options:

6.2 Delivery Time (for Shipping via Scopelux – per Article 13)

  • Delivery time ranges from 1 to 5 business days after the order has been prepared by either the seller or the Platform (depending on who is responsible for fulfillment).

6.3 Liability for Damage During Transit (for Shipping via Scopelux)

  • If a product is damaged during transit, the carrier (shipping company) is primarily responsible for compensation.

  • The shipper (Scopelux or you, depending on who contracted the carrier) will file a claim with the shipping company for compensation.

  • Scopelux assumes no financial liability for damage caused during transit (see details in Article 13).


7. Return and Refund Policy

7.1 Return Period

  • The return period is according to each seller’s stated policy on their store page on the Platform.

  • You are required to clearly display your return policy in your store.

  • If no return policy is specified, the default period of 7 days from the date of product receipt shall apply.

7.3 Generally Non-Returnable Products

Returns are not accepted in the following cases (unless you state otherwise in your store policy):

  • Used products or products with opened original packaging (for cosmetics, perfumes, and personal care products).

  • Products customized at the customer’s request (e.g., embroidered abayas).

  • Watches and jewelry after seals have been removed or use.


8. Commission and Financial Settlement

8.1 Commission

  • Scopelux commission is 12% of the value of each sale made through the Platform.

  • The commission is automatically deducted from the order value at the time of purchase.

8.2 Financial Settlement for Sellers

9. Intellectual Property

  • All Platform content (logos, texts, templates, design) is the exclusive property of Scopelux.

  • You warrant that you own all necessary rights to display your products on the Platform.

  • You agree to indemnify the Platform against any intellectual property infringement claims arising from your content.


10. Disclaimer of Warranties

10.1 Nature of Service

We provide our services “AS-IS” and without any express or implied warranties.

10.2 Scope of Disclaimer

10.3 Limitation of Liability

Our total liability for any claim shall not exceed:

  • The total commissions you paid to us during the 12 months preceding the claim, or

  • 500 Saudi Riyals, whichever is less.


11. Account Termination

11.1 Termination by the Platform

We may suspend or terminate your account immediately if:

  • You violate these Terms or applicable Saudi laws.

  • You provide false or misleading information.

  • You engage in any fraudulent or illegal activity.

11.2 Freezing of Earnings

In case of termination due to a material violation (e.g., commercial fraud or selling counterfeit products), we may freeze your pending earnings for 90 days.

11.3 Termination by Seller

You may terminate your account at any time without penalty, provided you fulfill all pending orders.


12. Arbitration and Governing Law

  • These Terms are governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia.

  • Any dispute shall be referred to the competent judicial committees in Riyadh, Kingdom of Saudi Arabia.

  • No party may file a lawsuit without first attempting to resolve the dispute amicably through our support team.


13. Logistics Services (Warehousing, Fulfillment, Shipping) – Optional Service

Important: This service is optional and the seller is not required to subscribe. This Article applies only to sellers who have submitted a written request to activate the service and whose request has been approved by the Platform.

13.1 Definition of Integrated Logistics Services

The Platform offers to interested sellers (upon their written approval) an integrated logistics service including:

  • First: Receiving and Storing Goods: The Platform shall receive goods from the Merchant or from the agreed-upon supplier, store them in the rented rack, and periodically update inventory records.

  • Second: Order Fulfillment: Upon receipt of a purchase order from an end customer, the Platform shall pick the goods from the rack, fulfill, inspect, package, and print the shipping invoice.

  • Third: Order Shipping: The Platform shall hand over the fulfilled order to the shipping company and complete the delivery process to the end customer’s doorstep.

13.2 Monthly Storage Fees

  • First: The storage fee for a full rack (100 cm width × 100 cm depth × 170 cm height) is 60 Saudi Riyals per month.

  • Second: The rental period begins on the actual date of first goods receipt at the Warehouse.

  • Third: If the service terminates during a month, the fee shall be calculated at a rate of 1/30 of the 60 SAR for each actual day of storage.

  • Fourth: The Merchant shall be exempt from monthly storage fees for any month in which he ships 15 orders or more through the Platform.

13.3 Fulfillment and Shipping Fees

  • First: The fulfillment and shipping fee is 30 Saudi Riyals per order (including packaging and carrier fees).

  • Second: These fees shall be deducted immediately from the Merchant’s electronic wallet once the order is fulfilled and assigned to the shipping company, regardless of its delivery to the customer.

13.4 Service Level Agreement (Execution Time)

  • First: Order fulfillment within 24 hours from the time of official order receipt.

  • Second: Shipping within major cities (Riyadh, Jeddah, Dammam) within 1-3 business days.

  • Third: Shipping to other areas within 3-5 business days.

  • Fourth: Inventory status update immediately upon completion of shipping.

  • Fifth: Receiving incoming goods within 24 hours of arrival at the Warehouse.

13.5 Platform Liability for Logistics Services

  • First (Wrongful Fulfillment): If it is proven that the Platform sent an incorrect product to the customer (different from what was ordered), the Platform shall bear the full costs of return and re-shipping and shall compensate the customer for any difference in value.

  • Second (Damage During Storage or Fulfillment): The Platform is responsible for the product’s safety while in the Warehouse and during fulfillment. If a product is damaged due to an error by the Platform, the Platform shall compensate the Merchant for the product’s selling price on the Platform at the time of the claim.

  • Third (Damage During Shipping): Once the order is handed over to the shipping company, liability for damage transfers to the carrier. The Platform commits to filing a claim on behalf of the Merchant with the shipping company if shipping damage is proven, and to forwarding any compensation received from the carrier to the Merchant.

13.6 Additional Merchant Obligations (Upon Service Activation)

  • First (Nature of Goods): The Merchant bears full responsibility for the safety of stored goods and their freedom from any material defects or damage. Goods shall be subject to a visual inspection by the Platform upon receipt.

  • Second (Licenses and Documents): The Merchant undertakes to provide a valid commercial registration, identification of warehouse workers (if any), and all necessary licenses. If the products are subject to the control of the Saudi Food and Drug Authority (SFDA), the Merchant is responsible for providing and renewing the necessary licenses.

  • Third (Optional Insurance): Upon a written request from the Merchant, the Platform may arrange additional insurance on the goods stored at the Warehouse through an accredited insurance company, provided the Merchant bears the full cost of the insurance premium, which shall be added to the monthly invoice.

13.7 Limitation of Platform Liability for Logistics Services

The Platform shall be exempt from liability in the following cases:

  • First: Force Majeure: Natural disasters, wars, general strikes.

  • Second: Address Error: Obvious errors in the shipping address provided by the Merchant.

  • Third: End Customer Error: The customer’s failure to receive the shipment due to absence or an incorrect phone number.

13.8 How to Activate and Cancel the Service

  • First (Activation): The Merchant may activate this service at any time by submitting a written request to the Platform via email (logistics@scopelux.com) or through their dashboard (if available). The service is activated upon Platform approval and receipt of the first goods at the Warehouse.

  • Second (Cancellation): The Merchant has the right to cancel this service at any time by notifying the Platform in writing at least 15 days in advance. Upon cancellation, the Merchant must remove their goods from the Warehouse within 7 days of the cancellation date.

  • Third (Retrieval of Goods after Termination): Within one week of the service termination date, the Merchant must remove their goods from the Warehouse or direct the Platform to ship them at their expense. If no action is taken after this period, the goods shall be considered abandoned, and the Platform has the right to dispose of them (by sale or destruction) to recover any outstanding financial dues.

13.9 Relationship of This Service to General Terms

  • This service is subject to all provisions of these Terms, including those regarding disclaimer of warranties, indemnification, and arbitration.

  • In the event of any conflict between the provisions of this Article and any other Article of these Terms, the provisions of this Article shall prevail with respect to logistics services.


14. Amendments to Terms

We reserve the right to amend these Terms. We will notify you of material changes via email 30 days in advance.


15. Miscellaneous Provisions

15.1 Governing Language

These Terms are prepared in both Arabic and English. In case of any conflict, the Arabic version shall prevail.
